These Terms and Conditions (“Terms”) govern the use of services, software, and platforms provided by Tapsys Technologies (“Company”, “we”, “our”, “us”).

1. DEFINITIONS
  • “Services”: IT consulting, development, SaaS products, and support

  • “SaaS Platform”: Any cloud-based software provided by Tapsys

  • “Client” / “User”: Any individual or entity using our services

  • “Data”: Any information processed through our systems

2. SCOPE OF SERVICES

Services may include:

  • Custom software development

  • SaaS platform access (subscription-based)

  • UI/UX and product design

  • API integrations and cloud services

All deliverables are governed by a Statement of Work (SOW) or contract.

3. SAAS-SPECIFIC TERMS
3.1 License Grant
  • We grant a non-exclusive, non-transferable, revocable license to use the SaaS platform

  • No ownership rights are transferred

3.2 Account Responsibility
  • Users must maintain account confidentiality

  • Any activity under the account is the user's responsibility

3.3 Service Availability (SLA)
  • We aim for 99% uptime, excluding:

    • Scheduled maintenance

    • Force majeure events

  • No guarantee of uninterrupted service

3.4 Subscription & Billing
  • SaaS operates on subscription basis (monthly/annual)

  • Auto-renewal applies unless cancelled

  • Fees are non-refundable

3.5 Data Hosting & Storage
  • Data may be hosted on secure third-party cloud providers

  • Users consent to cross-border data transfer

3.6 Acceptable Use Policy

You must NOT:

  • Reverse engineer the software

  • Use it for illegal activities

  • Overload or disrupt infrastructure

4. CLIENT CONTRACT (STRONG LEGAL CLAUSES)
4.1 Change Requests
  • Any scope change requires written approval + cost revision

4.2 Delivery & Timelines
  • Timelines depend on client inputs and approvals

  • Delays from client side extend deadlines automatically

4.3 Client Dependencies

Client must provide:

  • Content, credentials, approvals

  • Timely feedback

Failure may result in:

  • Project delays

  • Additional billing

4.4 Warranty Disclaimer
  • Deliverables are provided “as-is”

  • No guarantee of business outcomes

4.5 Acceptance Criteria
  • Work is deemed accepted if no feedback is provided within 7 days

5. INTELLECTUAL PROPERTY
  • Pre-existing IP remains with Tapsys Technologies

  • Custom deliverables:

    • Ownership transferred only after full payment

  • SaaS products always remain company-owned

6. DATA PROTECTION & COMPLIANCE
6.1 GDPR (EU Compliance)

We comply with General Data Protection Regulation:

  • Lawful processing of personal data

  • Data minimization & purpose limitation

  • User rights:

    • Access

    • Rectification

    • Erasure (“Right to be forgotten”)

    • Data portability

6.2 INDIA DPDP ACT (2023)

Compliance with Digital Personal Data Protection Act, 2023:

  • Data processed only for lawful purposes

  • Consent-based data collection

  • Data Principal rights:

    • Access

    • Correction

    • Grievance redressal

6.3 US DATA PRIVACY (GENERAL)

Where applicable, we align with:

  • California Consumer Privacy Act

  • Standard data protection principles:

    • Right to know

    • Right to delete

    • Right to opt-out

6.4 DATA SECURITY

We implement:

  • Encryption (in transit & at rest)

  • Access controls

  • Regular security audits

However, no system is 100% secure.

6.5 DATA BREACH POLICY

In case of a breach:

  • Users will be notified within a reasonable timeframe

  • Authorities informed where legally required

7. CONFIDENTIALITY

Both parties agree:

  • Not to disclose proprietary information

  • Use data strictly for agreed purposes

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • No liability for:

    • Indirect or consequential damages

    • Loss of profit, data, or reputation

  • Maximum liability capped at:

9. INDEMNIFICATION

Client agrees to indemnify Tapsys Technologies against:

  • Legal claims due to misuse

  • IP infringement caused by client-provided materials

10. TERMINATION

We may suspend or terminate if:

  • Terms are violated

  • Payments are overdue

  • Misuse is detected

Upon termination:

  • Access to SaaS will be revoked

  • Data may be deleted after 30 days

11. FORCE MAJEURE

We are not liable for delays caused by:

  • Natural disasters

  • Cyberattacks

  • Government restrictions

12. GOVERNING LAW

These Terms are governed by:

  • Laws of India

  • Jurisdiction: Courts of [Insert City – e.g., Delhi]

13. DISPUTE RESOLUTION
  • First: Mutual negotiation

  • Second: Arbitration (as per Indian Arbitration Act)

14. MODIFICATIONS

We may update Terms anytime. Continued use = acceptance.
